- Assisting a global transportation company for the sale of its two European airlines to an European purchaser in the context of a takeover, including drafting and negotiating the share purchase agreements and the due diligence aspects.
- Assisting two newly incorporated EU airlines for the leasing and financing of their fleet of aircraft in the cargo and passengers transportation sectors.
- Advising an international retail group for the setting up and development of its activities in Belgium, including all required corporate legal assistance required to set up the corporate entity, increase its capital and hold board and shareholders’ meetings.
- Assisting US investors in the context of a global acquisition transaction in the logistics sector, including the due diligence aspects, and the drafting and negotiation of the required representations and warranties.
- Assisting a major airline in the negotiation of a joint venture agreement with the supplier of aircraft maintenance services.
- Assisting an EU airline in the context of a strategic investment in the company by a non-EU group, including the due diligence aspects, the drafting and negotiation of the shareholders agreement and all contacts with the aviation authorities for the purpose of clearing the transactions under the applicable regulations.
- Assisting a major Belgian airline in the context of its judicial reorganization and restructuring under the supervision of the Belgian commercial courts, including the renegotiation of all aircraft lease agreements and other major contracts with creditors, the filing of legal actions, corporate legal support to safeguard the interests of the company and its stakeholders, and discussions with third party investors in view of the possible take over of the company’s activities.
- Handling all corporate legal work for a major Middle East airline in relation to its activities and establishment in Belgium.
